These agreements supersede these general Terms and Conditions for specific service provisions.
4. Client Responsibilities

4.2 Compliance Requirements
Clients must maintain compliance with all applicable healthcare regulations, including:
- HIPAA privacy and security rules
- Medicare and Medicaid billing requirements
- State licensing and regulatory requirements
- Documentation and record-keeping standards
4.3 System Access and Security
Clients are responsible for providing secure access to necessary systems and maintaining appropriate cybersecurity measures at their facilities.
5. Our Responsibilities and Service Standards
5.1 Professional Standards
We commit to:
- Maintaining qualified and trained staff
- Following industry best practices and standards
- Ensuring HIPAA compliance in all operations
- Providing regular reporting and communication
- Maintaining appropriate professional liability insurance
5.2 Performance Metrics
We strive to maintain high performance standards as outlined in individual service agreements, including claims submission timeframes, collection rates, and accuracy metrics.
6. Fees and Payment Terms
6.1 Service Fees
Fees for services are determined by individual service agreements and may be based on:
- Percentage of collections
- Per-claim processing fees
- Monthly retainer fees
- Combination fee structures
6.2 Payment Terms
Unless otherwise specified in your service agreement:
- Fees are deducted from collected payments
- Monthly statements are provided
- Payment disputes must be raised within 30 days
- Late payment charges may apply to overdue balances

8. Limitation of Liability
LIMITATION OF LIABILITY: To the maximum extent permitted by law, Beyond Adaptive’s total liability for any claims arising from or related to our services shall not exceed the fees paid by the client for services in the twelve (12) months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities.
8.1 Professional Liability
While we maintain professional liability insurance and strive for accuracy in all services, clients acknowledge that:
- Medical billing involves complex regulations subject to change
- Insurance company policies and procedures may vary
- Some claim denials or delays may be beyond our control
- Collection outcomes depend on various factors including patient financial responsibility
9. Indemnification
Clients agree to indemnify and hold Beyond Adaptive harmless from claims arising from:
- Inaccurate or incomplete information provided by the client
- Client’s non-compliance with healthcare regulations
- Unauthorized access or security breaches at client facilities
- Client’s breach of these Terms or service agreements
10. Termination
10.1 Termination by Either Party
Either party may terminate services with written notice as specified in the service agreement, typically 30-60 days.
10.2 Immediate Termination
We reserve the right to immediately terminate services if:
- Client fails to pay fees when due
- Client breaches confidentiality or security requirements
- Client engages in fraudulent or illegal activities
- Client fails to maintain required licenses or certifications
10.3 Post-Termination
Upon termination:
- All fees for services rendered become immediately due
- Client data will be securely returned or destroyed as requested
- Confidentiality obligations continue indefinitely
- We will cooperate in service transition for reasonable period
11. Compliance and Regulatory Matters
11.1 Healthcare Regulations
Our services are subject to various healthcare regulations including:
- Health Insurance Portability and Accountability Act (HIPAA)
- Medicare and Medicaid regulations
- Stark Law and Anti-Kickback Statute
- State healthcare and privacy laws

We monitor regulatory changes and update our practices accordingly. Clients will be notified of significant changes that may affect services.
12. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or technology failures.
13. Governing Law and Dispute Resolution
